TOWER Australia Group’s governance policies are an integral part of the corporate governance framework. All TOWER Australia Group Directors and employees are expected to comply with the governance policies.
Code of Professional and Ethical Conduct
The Code of Professional and Ethical Conduct
establishes a policy and provides guidance to executives and employees in situations where their or TOWER Australia Group’s integrity could be compromised, including conflicts of interest, use of non-public information and company assets, relationships with employees, customers and other stakeholders, reporting of unethical and dishonest behaviour, and related matters.
As well as the Code of Professional and Ethical Conduct, the Board Charter, Board Protocols and other documents referred to in this corporate governance section collectively and individually promote ethical and responsible decision-making in the Group.
Trading Policy
TOWER Australia Group has a Trading Policy
to regulate the manner in which Directors and executives can buy or sell shares in TOWER Australia Group. The policy specifies trading windows as the only periods during which trading in shares can occur. Trading is prohibited despite a window being open if the relevant person is in possession of non-public price sensitive information regarding TOWER Australia Group.
Market Disclosure and Communications Policy
TOWER Australia Group is cognisant of its corporate disclosure reporting obligations and maintains a Market Disclosure and Communications Policy
to enable relevant information to be disclosed to the market in a timely manner. All relevant information provided to ASX will be immediately posted onto the TOWER Australia website.
